These Payment and Direct Debit Terms apply to invoices, card payments, bank transfers, and any mandate you give The Conversion Berg to collect fees under a signed proposal, statement of work, or other agreement. They sit alongside the Refund, Cancellation and Dispute Policy. The signed order controls amounts, currency, and the payment timetable. If a payment provider’s scheme rules give you a mandatory right, those rules apply in addition to this page.
Invoices and due dates
We issue invoices in the currency stated on the order. Unless the order says otherwise, invoices are due on the date shown. Setup, discovery, and prepaid periods may be billed in advance. Recurring retainers are billed in advance of the period they cover. Taxes, approved expenses, and third-party media or licence costs are payable as stated and are not optional because they appear on a separate line. You must provide a valid billing email and update us if it changes.
How to pay
You may pay by the methods we enable for your account, which may include bank transfer, card, or a direct-debit / recurring-card mandate. Card and mandate collections are processed by a payment provider such as Stripe when that feature is enabled; we do not store full card PAN data in Berg Ops. You must ensure the paying account has sufficient funds. A payment is received when the provider or our bank confirms settlement, not when you click pay.
Disputed and undisputed amounts
If you dispute an invoice in good faith, tell us promptly in writing with the invoice number and the specific lines you dispute. You must still pay all undisputed amounts by the due date. We will investigate and confirm whether we will reissue, credit, or maintain the invoice. Raising a dispute does not by itself extend the due date for amounts that are not in dispute.
Late payment
If an undisputed amount is overdue, we may send reminders and, after notice, pause scheduled work or portal features that the agreement allows us to pause. We may charge statutory or contractual interest and reasonable recovery costs on overdue undisputed sums where the law allows. Pausing work does not cancel the underlying contract or the fees that continue to accrue during a contractual notice period.
Mandates, direct debit, and cancellation of a payment method
If you authorise recurring collection, you must keep the mandate valid until you cancel it in line with the scheme and give us the contractual notice required to end the services. Cancelling a card, mandate, or direct debit does not cancel the contract. You remain responsible for fees that fall due, including fees during the thirty (30) full calendar days’ email cancellation notice described in the Refund, Cancellation and Dispute Policy. If a collection fails, we may retry according to the provider’s rules and invoice you for the failed amount.
Refunds and chargebacks
All fees are final and non-refundable once payment has been received, except where a mandatory statutory right, a payment-scheme guarantee, or a written remedy for non-delivery or material service failure applies. Speak to us before starting a chargeback so we can identify the invoice. Unjustified chargebacks may be treated as unpaid invoices and may lead to suspension. Scheme protections (for example Section 75 or direct-debit guarantee rights where they apply) are not waived by this paragraph.
Taxes and third-party spend
Fees are exclusive of applicable taxes unless the invoice says they are included. Advertising spend, stock photography, premium plugins, or similar third-party costs paid on your behalf are pass-through items as described in the order. They are non-refundable once the third party has been paid or committed, except to the extent the third party refunds us and we can pass that through.
Currency, FX, and banks
If you pay in a currency other than the invoice currency, you bear conversion and correspondent-bank charges unless the order says we absorb them. Quote our invoice number as the payment reference. Unallocated receipts may delay the start of work. We are not responsible for delays caused by your bank’s AML checks.
Set-off
You may not withhold or set off amounts against our invoices except as the signed agreement or mandatory law allows. We may set off undisputed credits we owe you against undisputed amounts you owe us.
Records
Invoices, payment events, and dunning notices are stored in Berg Ops and may be shown in the client portal. You should download copies you need for your own accounts. We retain billing records for tax and limitation periods.
Changes to this document
We may update this document when our services, tools, or legal duties change. Material changes are issued as a new version with an effective date. The version shown at the foot of this page is the current public text. A signed proposal, statement of work, or agreement remains governed by the version incorporated into that order unless the parties lawfully agree otherwise. Minor corrections that do not change your rights may be published without a separate email notice.
Governing framework
Contracts use the law of England and Wales as the primary governing framework unless the signed order expressly states another governing law. Mandatory local protections continue to apply where they cannot lawfully be excluded, including protections under UK GDPR, the Data Protection Act 2018, PECR, and, where a Canadian resident is involved, PIPEDA, CASL, and applicable provincial privacy law.
